Article 1Acceptance of Terms

1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," "Funder," "Consultant," or "Member") and MONK3Y Studio LLC ("NAS," "Company," "we," "us," or "our"), governing your access to and use of the NAS Platform ("Platform") and all related services.

1.2 BY ACCESSING THE PLATFORM, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.

1.3 No Report, work product, or paid service may be ordered through the Platform without your affirmative, recorded acceptance of these Terms and the Privacy Policy then in effect. This acceptance is logged with a timestamp and document version and constitutes a binding agreement.

1.4 We reserve the right to modify these Terms at any time. Material changes will be communicated by email and/or prominent platform notice. Continued use following the effective date of any modification constitutes acceptance of the revised Terms.

Article 2Description of Services

2.1 The NAS Platform is a subscription- and credit-based analytical services platform providing fundability assessments for nonprofit organizations. The Platform's primary service offerings are:

  • SignalPoint™ Report — a standardized fundability snapshot covering key organizational health indicators, delivered digitally within 48 hours of completion of required intake materials.
  • VantageEdge™ Report — a comprehensive, methodology-driven fundability analysis applying the NAS Analytical Framework, reviewed by a senior practitioner before delivery.

2.2 All Reports are informational tools. They do not constitute legal, financial, investment, accounting, or other professional advice. See Article 10 for full disclaimers.

2.3 The Company reserves the right to modify, suspend, or discontinue any service feature at any time. We will provide reasonable advance notice of material service changes.

2.4 Access to Reports and Platform features may be conditioned on account approval, active membership, and sufficient SignalPoint™ credit balance, as applicable to your account type.

Article 3Artificial Intelligence Disclosure

3.1 The Platform uses artificial intelligence systems, including large language models and automated data analysis tools, in the generation, synthesis, and presentation of Reports and other analytical outputs. AI-assisted does not mean AI-only: certain Reports are reviewed by human analysts before delivery.

3.2 AI-generated content is not infallible. Reports may contain errors, omissions, or outdated information. The Company makes no representation that any Report is complete, accurate, or fit for any particular purpose.

3.3 You acknowledge that AI systems have inherent limitations, including potential bias, hallucination, or gaps in training data. All Reports must be critically evaluated by qualified personnel before being used as the basis for any organizational decision.

3.4 Data you submit to the Platform may be processed by contracted third-party AI providers under confidentiality obligations. Those providers are prohibited from using your data to train publicly available AI models. See the Privacy Policy for details.

Article 4Account Types & Eligibility

4.1 The Platform serves three categories of client accounts, each with distinct access and pricing:

  • Nonprofit Organizations — U.S.-registered nonprofits with a valid EIN. Access includes direct Report ordering and case management.
  • Institutional Funders — foundations, corporate giving programs, and similar grantmaking entities. Access includes SignalPoint™ credit purchases and portfolio screening features.
  • Practice Consultants (also referred to as Partners in NAS marketing materials) — nonprofit consulting firms and advisors. Access includes white-label Report delivery, client management, and discounted Report pricing via membership plan.

4.2 All accounts are subject to operator review and approval. Submission of an application does not guarantee approval. The Company reserves the right to deny or revoke access at its sole discretion.

4.3 Accounts are non-transferable. You may not share login credentials or permit unauthorized individuals to access your account. You are responsible for all activity occurring under your account.

4.4 Accounts must be held by authorized representatives of the applying organization. Individual consumers may not register personal accounts.

Article 5SignalPoint™ Credits

5.1 SignalPoint™ credits ("Credits") are the Platform's unit of exchange for Report orders. Credits are purchased by Funders and Consultants and may be applied toward qualifying Report orders.

5.2 Credits have no cash value and are non-refundable except as explicitly provided in Article 8. Credits are non-transferable between accounts unless authorized by the Company in writing.

5.3 Membership-included SignalPoint™ credits reset each quarter and do not roll over. Unused membership credits are forfeited at the end of each quarterly billing period. If your account is suspended or terminated, unused Credits are forfeited and are not redeemable for cash or other compensation.

5.4 The Company reserves the right to adjust Credit pricing at any time. Credits purchased before a pricing adjustment retain their face value for Report ordering.

Article 6Free SignalPoint™ Report Offer

6.1 The Company offers a complimentary first SignalPoint™ Report ("Free Report") to qualifying nonprofit accounts as an introduction to the Platform.

6.2 The Free Report offer is subject to the following conditions:

  • Available only to newly approved nonprofit organization accounts using the organization's own email domain, unless otherwise expressly offered by the Company in writing;
  • Consultant and Funder accounts are not eligible for the standard free nonprofit SignalPoint™ offer;
  • Limited to one Free Report per organization (determined by EIN);
  • Available only to accounts that have not previously received a Report through the Platform in any capacity;
  • Contingent on completion of all required intake materials within thirty (30) days of account approval;
  • Non-transferable and may not be exchanged for Credits, cash, or other Reports;
  • Subject to the same non-reliance terms and disclaimers applicable to paid Reports (Articles 10 and 11);
  • May be withdrawn or modified by the Company at any time without notice.

6.3 Acceptance of the Free Report constitutes acceptance of these Terms in their entirety, including all limitations of liability and disclaimer provisions.

6.4 The Free Report is delivered at the Company's scheduling discretion and does not carry a guaranteed delivery timeline.

Article 7Membership Fees & Refund Policy

7.1 Consultants and Funders may purchase recurring membership subscriptions that include SignalPoint™ credits and preferred VantageEdge™ pricing. Membership fees are billed in advance on a quarterly basis. Membership is not required unless a specific offer, account arrangement, or order path expressly states otherwise.

7.2 Non-Refundable — No Exceptions ALL MEMBERSHIP FEES ARE STRICTLY NON-REFUNDABLE. This applies to:

(a) All quarterly membership payments, including the first quarterly billing period;
(b) Unused portion of the then-current quarter where membership is cancelled mid-cycle;
(c) Situations where the member elects not to use Platform features during a quarterly billing period;
(d) Situations where account access is suspended for violation of these Terms;
(e) Situations where a member is dissatisfied with the Platform or its outputs.

7.3 Membership may be cancelled at any time. Cancellation takes effect at the end of the then-current quarterly billing period. No prorated refund will be issued for the unused portion of any period.

7.4 Quarterly memberships are billed in full at the start of each quarterly period. No refund will be provided if a quarterly membership is cancelled before the end of the quarterly term.

7.5 If a payment fails and the account becomes past due, Platform access may be suspended until the outstanding balance is resolved. We will provide reasonable notice and a cure period before suspension.

7.6 The Company reserves the right to adjust membership pricing with thirty (30) days' advance notice. Existing members may cancel before the new pricing takes effect without penalty for the then-current period.

Article 8Per-Report Fees & Refund Policy

8.1 Individual Report orders are charged at the rates published on the Platform at the time of order, either by Credit deduction or direct payment, depending on account type and membership status.

8.2 Non-Refundable Once Delivered Once a completed Report has been delivered to your account, the associated fee or Credit deduction is final and non-refundable. You acknowledge that the analytical work and practitioner review are performed in connection with your specific submission and cannot be reversed or reapplied to another order.

8.3 Pre-Delivery Cancellations If a Report order is cancelled by you before work has commenced (as determined solely by the Company), a full Credit reinstatement or fee refund may be issued at the Company's discretion. Cancellation requests must be submitted in writing to legal@npastudio.com. No guarantee of cancellation is made once an order is confirmed.

8.4 The Company is not responsible for Reports that cannot be completed due to insufficient, incomplete, or inaccurate information submitted by the ordering party. No refund will be issued in such circumstances.

8.5 In the event of a technical error or platform failure that materially prevents Report delivery, the Company's sole obligation is to re-deliver the Report or, at its discretion, reinstate the associated Credits. No monetary refund will be issued in excess of the face value of the Report fee paid.

Article 9White-Label Arrangements

9.1 Practice Consultants with an approved white-label tier may present NAS Reports to their end-clients under the Consultant's own brand identity ("White-Label Reports"). The following terms govern such arrangements:

9.2 Permitted Use Consultants may:

  • Replace the NAS visual branding with their own logo, colors, and firm identity in the Report presentation layer;
  • Present White-Label Reports to their nonprofit organization clients as part of their advisory services;
  • Charge their clients independently for advisory services that incorporate NAS Reports, at pricing determined solely by the Consultant.

9.3 Restrictions Consultants may not:

  • Represent to end-clients or any third party that White-Label Reports were created, authored, or certified by the Consultant's firm using proprietary methodology;
  • Modify the analytical content, findings, scores, or conclusions of any Report;
  • Transfer, sublicense, or share Platform access or Report content with parties not covered by an active Consultant membership;
  • Use NAS Reports for any purpose that violates applicable law or regulatory requirements in the Consultant's jurisdiction.

9.4 Methodology Ownership The NAS Analytical Framework, scoring methodology, and all underlying intellectual property remain the exclusive property of MONK3Y Studio LLC. White-label branding does not transfer ownership of, or license to, the underlying methodology.

9.5 Consultant Liability Consultants are solely responsible for the manner in which they present, interpret, and advise clients in connection with White-Label Reports. The Company is not liable for any advisory relationship, representation, or obligation between a Consultant and their end-clients. Consultants agree to indemnify and hold harmless the Company from any claim, damage, or liability arising from the Consultant's client relationships or advisory activities.

9.6 End-Client Terms Consultants must ensure that end-clients who receive White-Label Reports are made aware of the non-reliance terms applicable to such Reports (substantially equivalent to Articles 10 and 11 herein). Failure to do so does not shift liability to the Company.

Article 10Disclaimers & Non-Reliance

THE PLATFORM AND ALL REPORTS, WORK PRODUCTS, AND INFORMATION PROVIDED THROUGH THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

10.1 Reports are informational tools only. They do not constitute legal, financial, investment, accounting, regulatory, tax, or any other form of professional advice.

10.2 No attorney-client, fiduciary, or professional advisory relationship is created between the Company and any user by virtue of Platform access or Report delivery.

10.3 All decisions made in reliance on Reports are made solely at the user's own risk and discretion. The Company is not responsible for any outcome, consequence, loss, or liability arising from any user's reliance on any Platform output.

10.4 Third-Party Reliance Prohibited. Reports are prepared solely for the internal use of the ordering client. No third party may rely on any Report. The Company expressly disclaims any duty or liability to third parties who obtain or rely upon Reports, whether or not such access was authorized by the ordering client.

10.5 Data underlying Reports is derived from third-party sources (including public records, self-reported organizational data, and AI-processed content) that may themselves be incomplete, inaccurate, or outdated. The Company does not independently verify all third-party data sources.

Article 11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONK3Y STUDIO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.1 In no event shall the Company's total cumulative liability to you for any and all claims arising out of or related to your use of the Platform exceed the lesser of: (a) the total fees paid by you to the Company in the twelve (12) months preceding the claim; or (b) five hundred dollars (USD $500.00).

11.2 The limitations set forth in this Article apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and shall survive termination of these Terms.

11.3 Some jurisdictions do not permit exclusion of certain warranties or limitation of certain damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you, and the Company's liability will be limited to the maximum extent permitted by applicable law.

Article 12General Provisions

12.1 Intellectual Property. All content, methodology, scoring frameworks, software, and other intellectual property on the Platform are owned by or licensed to MONK3Y Studio LLC. These Terms do not grant you any ownership interest in any Platform content or NAS methodology.

12.2 Termination. The Company may suspend or terminate your account for violation of these Terms, non-payment, or any other reason at its sole discretion, with or without notice. Upon termination, your right to access the Platform and all associated data ceases immediately.

12.3 Governing Law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles.

12.4 Dispute Resolution. Any dispute arising out of or relating to these Terms or the Platform shall first be subject to good-faith informal negotiation for a period of thirty (30) days. If not resolved informally, disputes shall be finally resolved by binding arbitration conducted in New York, NY under the rules of the American Arbitration Association. Class actions and class arbitrations are expressly waived.

12.5 Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of the Terms shall continue in full force.

12.6 Entire Agreement. These Terms, together with the Privacy Policy and any order confirmations, constitute the entire agreement between you and the Company with respect to the Platform, superseding all prior agreements and understandings.
